1. 「グラマーティーク会員規約」（以下「本規約」）は、当サイトにおける本サービスの提供及びその利用にかかわる一切についてすべての会員に適用され、登録手続時および登録後にお守りいただく規約です。
2. 「会員」とは、当社グラマーティークが定める手続に従い本規約に同意の上、入会の申し込みを行う個人をいいます。
3. 「会員情報」とは、会員がグラマーティークに開示した会員の属性に関する情報および会員の取引に関する履歴等の情報をいいます。
   

第2条（会員資格と会員登録）

1. 本規約に同意の上、所定の入会申込みをされたお客様は、所定の登録手続完了後に会員としての資格を有します。
2. 会員登録手続は、会員となるご本人が行ってください。代理による登録は一切認められません。なお、過去に会員資格が取り消された方やその他グラマーティークが相応しくないと判断した方からの会員申込はお断りする場合があります。
3. 会員登録手続の際には、入力上の注意をよく読み、所定の入力フォームに必要事項を正確に入力してください。会員情報の登録において、特殊記号・旧漢字・ローマ数字などはご使用になれません。これらの文字が登録された場合はグラマーティークにて変更致します。

第3条（パスワードの管理）

1. パスワードは会員本人のみが利用できるものとし、第三者に譲渡・貸与できないものとします。
2. パスワードは、他人に知られることがないよう定期的に変更する等、会員本人が責任をもって管理してください。
3. パスワードを用いてグラマーティークに対して行われた意思表示は、会員本人の意思表示とみなし、そのために生じる支払等はすべて会員の責任となります。
   

第4条（変更）

1. 会員は、氏名、住所などグラマーティークに届け出た事項に変更があった場合には、速やかにグラマーティークに連絡するものとします。
2. 変更登録がなされなかったことにより生じた損害について、グラマーティークは一切責任を負いません。また、変更登録がなされた場合でも、変更登録前にすでに手続がなされた取引は、変更登録前の情報に基づいて行われますのでご注意ください。
   

第5条（退会）

会員が退会を希望する場合には、会員本人が退会手続きを行ってください。所定の退会手続の終了後に、退会となります。

第6条（会員資格の喪失及び賠償義務）

1. 会員が、会員資格取得申込の際に虚偽の申告をしたとき、通信販売による代金支払債務を怠ったとき、その他グラマーティークが会員として不適当と認める事由があるときは、グラマーティークは、会員資格を取り消すことができることとします。
2. 会員が、以下の各号に定める行為をしたときは、これによりグラマーティークが被った損害を賠償する責任を負います。
   • (1)会員番号、パスワードを不正に利用すること
   • (2)当サイトにアクセスして情報を改ざんしたり、当サイトに有害なコンピュータプログラムを送信するなどして、グラマーティークの営業を妨害すること
   • (3) グラマーティークが扱う商品の知的所有権を侵害する行為をすること
   • (4)その他、この利用規約に反する行為をすること
     

第7条（会員情報の取扱い）

1. グラマーティークは、原則として会員情報を会員の事前の同意なく第三者に対して開示することはありません。ただし、次の各号の場合には、会員の事前の同意なく、グラマーティークは会員情報その他のお客様情報を開示できるものとします。　
   • (1)法令に基づき開示を求められた場合　
   • (2) グラマーティークの権利、利益、名誉等を保護するために必要であるとグラマーティ　ークが判断した場合
2. 会員情報につきましては、グラマーティークの「個人情報保護方針」に従い、グラマーティークが管理します。グラマーティークは、会員情報を、会員へのサービス提供、サービス内容の向上、サービスの利用促進、およびサービスの健全かつ円滑な運営の確保を図る目的のために、グラマーティークにおいて利用することができるものとします。
3. グラマーティークは、会員に対して、メールマガジンその他の方法による情報提供（広告を含みます）を行うことができるものとします。会員が情報提供を希望しない場合は、グラマーティーク所定の方法に従い、その旨を通知して頂ければ、情報提供を停止します。ただし、本サービス運営に必要な情報提供につきましては、会員の希望により停止をすることはできません。

第8条（禁止事項）

本サービスの利用に際して、会員に対し次の各号の行為を行うことを禁止します。

1. 法令または本規約、本サービスご利用上のご注意、本サービスでのお買い物上のご注意その他の本規約等に違反すること
2. グラマーティーク、およびその他の第三者の権利、利益、名誉等を損ねること
3. 青少年の心身に悪影響を及ぼす恐れがある行為、その他公序良俗に反する行為を行うこと
4. 他の利用者その他の第三者に迷惑となる行為や不快感を抱かせる行為を行うこと
5. 虚偽の情報を入力すること
6. 有害なコンピュータプログラム、メール等を送信または書き込むこと
7. グラマーティークのサーバその他のコンピュータに不正にアクセスすること
8. パスワードを第三者に貸与・譲渡すること、または第三者と共用すること
9. その他グラマーティークが不適切と判断すること
   

第9条（サービスの中断・停止等）

グラマーティークは、本サービスの稼動状態を良好に保つために、次の各号に該当する場合、予告なしに、本サービスの提供全てあるいは一部を停止することがあります。

1. システムの定期保守および緊急保守のために必要な場合
2. システムに負荷が集中した場合
3. 火災、停電、第三者による妨害行為などによりシステムの運用が困難になった場合
4. その他、止むを得ずシステムの停止が必要とグラマーティークが判断した場合
   

第10条（サービスの変更・廃止）

グラマーティークは、その判断によりサービスの全部または一部を事前の通知なく、適宜変更・廃止できるものとします。

第11条（免責）

1. 通信回線やコンピュータなどの障害によるシステムの中断・遅滞・中止・データの消失、データへの不正アクセスにより生じた損害、その他グラマーティークのサービスに関して会員に生じた損害について、グラマーティークは一切責任を負わないものとします。
2. グラマーティークは、当社のウェブページ・サーバ・ドメインなどから送られるメール・コンテンツに、コンピュータ・ウィルスなどの有害なものが含まれていないことを保証いたしません。
3. 会員が本規約等に違反したことによって生じた損害については、当社は一切責任を負いません。

第12条（本規約の改定）

グラマーティークは、本規約を任意に改定できるものとし、また、グラマーティークにおいて本規約を補充する規約（以下「補充規約」といいます）を定めることができます。本規約の改定または補充は、改定後の本規約または補充規約をグラマーティーク所定のサイトに掲示したときにその効力を生じるものとします。この場合、会員は、改定後の規約および補充規約に従うものと致します。

第13条（準拠法、管轄裁判所）

本規約は日本の法律に準拠致します。当サイトの利用に関して会員とグラマーティークの間に紛争が生じた場合、東京地方裁判所を第一審の専属的合意管轄裁判所とします。

第14条（言語）

日本語の本規約の内容が正式書類の原本として適用されます。英訳文はあくまでも参考用にお使いいただくものであります。

Article 1: Definition

1. Glamortique Membership Agreement (this “Agreement”) shall be applicable to all Members (the “Member(s)”) with respect to supply of this Services (this “Service”) and the use of this Website (this “Website”), and who shall follow the Agreement during/after Member Registration (the “Registration).
2. Member means an individual who agrees to this Agreement in accordance with procedures that Glamortique has set forth, and registers the membership.
3. “Member Information” means information on Member attribute and Member’s account history that Member provided to Glamortique.
   

Article 2: Membership and Registration

1. A customer who agrees to this Agreement and registers the prescribed Membership (the “Membership”) will be qualified as a Member.
2. The Registration should be completed by the Member in person.  The Registration done by proxies can not be admitted at all.  In addition, Glamortique may reject the Registration of the Member who has been terminated the Membership in the past and/or a person whom Glamortique determined not to be appropriate as a Member.
3. At the Registration, the Member shall read the instruction carefully and enter required information accurately in the prescribed registration form.  At the entry, special characters, old kanji and Roman numerals can not be used.  If these characters are found in the Registration, Glamortique shall modify them.
   

Article 3: Administration of Password

1. The Password can be used only by the Member in person, and the Password can not be assigned or leased to a third party.
2. The Password must be responsibly administrated by the Member in person as the Member changes the Password on regular basis to prevent others to know.
3. Indication of the Member’s intent that Member provided with the Password is considered as an intent of the Member in person, and the Member is fully responsible for any expenses arising by such occasion.

Article 4: Alteration Notice

1. The Member shall immediately notify Glamortique when information that the Member provided to Glamortique has any changes such as name and address.
2. Glamortique is not liable to any damages arising out of the fact that the Member did not notify necessary Alteration Notice (the “Alteration”).  In addition, please be aware that any orders completed prior to the Alteration will be processed on the basis of previous information, even though the Alteration was notified afterwards.
   

Article 5: Membership Withdrawal

If the Member desires to withdraw the Membership, the withdrawal notice needs to be submitted by the Member in person.  The Membership Withdrawal will be done after the prescribed withdrawal procedures are completed.

Article 6: Membership Termination and Liability

1. If the Member, submitted false statements at the Registration, defaulted in mail-order payment, and for other reasons that Glamortique disqualifies the Member, Glamortique shall terminate the Membership.
2. The Member is liable to all damages that Glamortique incurred by the following deeds:
   • (1)  Using Member ID and Password illegally
   • (2)  Interfering Glamortique business by making the falsification of this Website and transmitting a harmful computer program to this Website
   • (3)  Infringing intellectual property rights of products that Glamortique carries
   • (4) And other deeds that the Member breaches any of the terms and conditions of this Agreement
     

Article 7: Instructions of Member Information Use

1. As a general rule, Glamortique will not disclose Member Information to any third party without the Member’s permission, however; Glamortique shall disclose Member Information and other customer information without prior consent in the following cases:
   • (1)  Being forced to disclose customer information by law
   • (2)  When Glamortique regarded the necessity in order to protect rights, interests and honor of Glamortique
2. Glamortique administrates Member Information in accordance with “Privacy Policy” of Glamortique.  Glamortique shall use Member Information for purposes of, service provision, service improvement, service utilization promotion, and in order to improve healthy and smooth operation.
3. Glamortique shall provide the Member useful information (including advertisement) via e-mail newsletters and other methods for the benefit of the Member.  If the Member does not desire the information service, it will be stopped providing by submitting notice in accordance with prescribed procedures.  However, provision of all necessary information to operate this Service cannot be suspended at the Member’s request.
   

Article 8: Prohibition Matters

In using this Service, Glamortique prohibits the Member the following deeds:

1. Violating, law or this Agreement, the attention with this Service utilization and shopping methods, and other cautions in this Agreement
2. Damaging the rights, benefits and glory of Glamortique and other third parties
3. Committing act which may cause a harmful influence on the youth physically and mentally, and act against other public order and morality
4. Committing nuisance act the other users and third parties find it annoyed and sense discomfort
5. Inputting false information
6. Transmitting and/or writing harmful computer program and e-mail
7. Accessing Glamortique server and other computers illegally
8. Lending and/or assigning the Password to third parties, or sharing it with third parties
9. Other acts that Glamortique considers inappropriate
   

Article 9: Service Interruption and Suspension

Glamortique may suspend all or a part of this Service without prior notice in order to protect the best operation condition of this Service in the following cases:

1. In the necessity for periodical and emergency maintenance of the system
2. Been burdened heavy impacts into the system
3. Had difficulties to operate the system by fire disaster, power outage and sabotage by third parties
4. Other circumstances that Glamortique judged to suspend the system by necessity
   

Article 10: Service Change and Discontinuance

Glamortique shall appropriately change or discontinue all or a part of this Service at the discretion of Glamortique without prior notice.

Article 11: Liability Exemption

1. Glamortique shall not be liable to, any system break, system delay, data loss by blocks of communication lines or computer systems, damages caused by illegal access to data, and other damages asserted against the Member with regard to services Glamortique provides.
2. Glamortique shall not guarantee that e-mail contents sent by the webpage, server, domain are hazards-free such as computer-virus.
3. Glamortique shall not be liable to any damages arising to the Member out of breaching this Agreement.
   

Article 12: Revision of This Agreement

Glamortique has the discretionary authority to revise this Agreement.  In addition, Glamortique shall set the stipulation to replenish this Agreement (the “Replenished Agreement”).  The Revision or Replenishment of this Agreement becomes effective, when the Revision of this Agreement or the Replenished Agreement was posted on the prescribed Website of Glamortique.  At the circumstances, the Member shall comply with the revised or Replenished Agreement.

Article 13: Governing Law and Arbitration

This Agreement shall be governed by and construed under the laws of Japan.  In the event of any dispute arising between the Member and Glamortique with regard to use of this Website, the Tokyo District Court shall be set as an exclusive agreement jurisdictional court for the first trial.

Article 14: Language

The Agreement in Japanese language shall be the original official document.  This English translation shall be used as reference only.
